End User License Agreement (EULA)
This End User License Agreement (“EULA”) is entered into by Keeyns B.V., with its registered offices and principal place of business in ’s-Hertogenbosch, the Netherlands, at Pettelaarpark 20, registered with the Dutch Chamber of Commerce under number 67450202 (“Keeyns”) and the users of Keeyns’ Software (“the End User”). The EULA contains the arrangements for the use of a software platform by Keeyns (“the Software”) to the End User.
1. USE OF THE SOFTWARE
1.1 The End User accepts this EULA upon first use of the Software. Without accepting the EULA, the End User cannot use the Software.
1.2 The Software performs as a tax collaboration platform.
1.3 The End User shall not, directly or indirectly through others:
(a) enable any person or entity other than itself to access or use the Software;
(b) use the Software in another way than described in the EULA or for any unlawful purpose;
(c) cause or attempt to cause a disruption in the operation and/or stability of the Software;
(d) translate, reverse engineer, decompile or otherwise attempt to access the source code of the Software;
(e) modify or make derivative works based on the Software or content found therein;
(f) make any copies of any content provided in connection with the Software;
(g) include the Software in any other products;
(h) access the Software in order to build a competitive solution;
(i) use the Software to provide commercial services to third parties;
(j) circumvent security measures or technical limitations of the Software (or have them circumvented).
1.4 Keeyns reserves the right to block, suspend or terminate the End User's use of the Software, for example, in the event that:
(a) the End User acts in violation of this EULA or other conditions set by Keeyns;
(b) a suspicion of fraud exists;
(c) the End User infringes the intellectual property rights of Keeyns or third parties;
(d) the End User's use of the Software interferes with the operation of the Software or causes security risks;
(e) the use of the Software by the End User may, in the opinion of Keeyns, damage the reputation and/or image of Keeyns or its Software.
2. INTELLECTUAL PROPERTY
2.1 The Software is subject to copyright and other intellectual property rights. All intellectual property rights with respect to the Software belong to Keeyns or its suppliers. The End User acquires a non-exclusive, non-transferable license to use the Software solely for the duration of the EULA. Keeyns does not transfer any intellectual property rights to the End User.
3. AVAILABILITY
3.1 Keeyns endeavours to make the Software available to the End User and to provide the End User with access thereto, but does not guarantee that the Software will be available to the End User nor that it will be available at all times.
3.2 Keeyns may temporarily suspend access to the Software for purposes such as performing updates or maintenance, taking additional security measures, adding new functionalities or improving the performance of the Software, without prior notice to the End User.
3.3 The End User is responsible for meeting the system requirements for the use of the Software and installing the latest updates to the Software.
3.4 Keeyns is free to modify, disable or remove the functionalities of the Software without prior notice to the End User.
4. PRIVACY
4.1 Keeyns processes personal data of the End User in accordance with its privacy statement, which is available on the website of Keeyns.
5. SUPPORT
5.1 Keeyns may provide support services to the End User in relation to the Software. Keeyns does not guarantee the availability of support services.
6. KEEYNS’ BEST EFFORTS
6.1 Keeyns shall offer its reasonable efforts to enable the use of the Software, but in no way guarantees that:
(a) the Software contains no errors;
(b) the Software operates without interruptions;
(c) all data used or displayed by the Software is accurate;
(d) the Software is fit for the purpose it is offered for;
(e) the Software does not infringe third party (intellectual property) rights.
7. MISCELLANEOUS
7.1 The EULA and all (legal) transactions resulting from the EULA shall solely be governed by and construed in accordance with the laws of the Netherlands.
7.2 This EULA may be terminated by Keeyns and/or the End User at any time.
7.3 Keeyns may change the EULA. If Keeyns chooses to do so, the End User will be asked to accept the changes in the EULA.
